1. Acceptance of Terms

By accessing the website or engaging the services of Lotus Software Solutions ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not accept our services or use our website. These terms govern all software development, consulting, deployment, and ongoing support services we provide.

2. Scope of Services

Lotus Software Solutions provides custom software development, web and mobile application development, enterprise architecture, and related modernization and maintenance services. The specific scope of work, project duration, deliverables, and technological requirements (such as Java, .NET, React, AWS, etc.) for any given project will be detailed in a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties.

3. Client Responsibilities

To ensure the timely and successful delivery of our software solutions, clients agree to provide necessary materials, access to required systems, prompt feedback, and clear project requirements during the Discovery & Planning phases. Delays in client feedback or failure to provide agreed-upon resources may result in adjustments to project timelines and deliverables.

4. Intellectual Property

Unless otherwise stipulated in a signed contractual agreement, Lotus Software Solutions retains all rights, title, and interest in pre-existing code, frameworks, and methodologies used during development. Upon receipt of full payment for completed milestones, the intellectual property rights for the custom software developed specifically for the client will be transferred to the client, subject to the conditions outlined in the respective SOW.

5. Payment and Billing

• Invoicing: Invoices are issued in accordance with the milestone schedule agreed upon in the SOW.
• Payment Terms: Payments are due within thirty (30) days from the date of the invoice, unless otherwise stated.
• Late Fees: We reserve the right to charge interest on overdue amounts or suspend ongoing development and QA testing until full payment is received.

6. Limitation of Liability

Lotus Software Solutions shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to our services, even if advised of the possibility of such damages. Our total liability for any claim arising out of the services provided shall not exceed the total amount paid by the client for the specific project milestone under dispute.

7. Governing Law and Jurisdiction

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Vietnam. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the competent courts in Hanoi, Vietnam.
